and octaspace regarding your access to and use of the services by accessing or using the services, creating an account, connecting a wallet, installing or running octaspace software, or otherwise participating in the network, you agree to be bound by these terms if you do not agree, you must not use the services 1\ introduction and acceptance of terms these terms and conditions (the "terms") govern access to and use of the website, applications, node software, dashboards, and services operated by octaspace ("octaspace," "we," "us," or "our"), including the octaspace compute marketplace, the decentralized vpn, the octarender distributed rendering platform, the marketplace dashboard, and any related software, apis, or documentation (collectively, the "services") the services connect two categories of participants in a peer to peer network individuals and organizations who make computing hardware available for rental, vpn exit routing, and/or distributed rendering ("node providers"), and individuals and organizations who rent that hardware, route traffic through it, or submit rendering jobs to it ("users") a single account may act as both a node provider and a user at different times "you" refers to either, depending on context, and where a provision applies only to one role, it is labeled accordingly by creating an account, downloading or installing octaspace node software, connecting a wallet, or otherwise accessing or using the services, you agree to be bound by these terms, our privacy policy, and any service specific guides or policies referenced in these terms (together, the "agreement") if you do not agree, you must not access or use the services if you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "your" refer to that entity octaspace operates as a decentralized network with no single centralized owner of the underlying hardware certain functions of the services, such as the website, node software, matching engine, billing systems, and dispute handling, are developed, operated, or coordinated by octaspace or parties acting on its behalf references in this agreement to "octaspace" mean the operators of those functions from time to time 2\ definitions "node" means a physical or virtual machine made available to the octaspace network by a node provider through octaspace node software "node software" means the client software published by octaspace that node providers install to connect their hardware to the network, accept sessions, run idle jobs, and receive payment "session" means a discrete period during which a user rents, controls, or otherwise makes active use of a node or a set of nodes, whether for compute rental, vpn routing, or rendering "idle jobs" means the optional facility described in section 5 5 through which a node provider may run background workloads on a node while it is not otherwise rented, and which is automatically paused and resumed around rental sessions "reliability score" means the platform calculated rating assigned to each node reflecting its historical uptime, stability, and adherence to this agreement, as described in section 5 4 "docker image" means a containerized application template, whether published in the octaspace catalogue or sourced by a user from a third party registry such as docker hub, that is deployed onto a node during a session "virtual machine" means a full virtual machine, including where supported a virtual machine with gpu passthrough, made available on a node in place of or alongside container based workloads "usdc" means the usd coin stablecoin, used as described in section 5 3 to pay node providers via the base network "marketplace" means the unified dashboard and marketplace interface through which users and node providers manage credentials, billing, active sessions, node configuration, and service selection across the compute, vpn, and rendering products references in octaspace documentation to the "cube" refer to the same interface as the marketplace "content" means any data, files, code, docker images, virtual machine images, models, or other material uploaded, transmitted, processed, or generated by a user in connection with a session 3\ description of the octaspace platform octaspace operates a decentralized physical infrastructure network ("depin") that aggregates independently owned hardware into a unified marketplace octaspace does not itself own or operate the majority of the underlying hardware it provides the software, matching, billing, and account infrastructure that connects node providers and users octaspace is a facilitator of these transactions and, except where expressly stated, is not a party to the rental, vpn, or rendering relationship between a node provider and a user 3 1 compute marketplace the marketplace allows users to browse available nodes and rent them by the session users may launch a ready made docker image from the octaspace catalogue or bring their own image from a third party registry such as docker hub certain nodes also support full virtual machines, including gpu passthrough, for workloads requiring deeper isolation or full operating system access the network spans multiple hardware architectures, including nvidia, amd, and intel devices node providers set their own pricing, expressed as a base price per hour, a storage price per gb, and a traffic price per gb 3 2 decentralized vpn participating nodes may act as vpn exit points, allowing users to route traffic through geographically distributed hardware using one or more supported protocols vpn service is billed on a pay per gb basis with no monthly subscription, as described in the applicable pricing page, and is subject to the acceptable use restrictions in section 7 3 3 octarender (distributed rendering) octarender allows a user to rent multiple nodes simultaneously and distribute a single rendering job across them to reduce wall clock render time node providers who opt in to rendering make their hardware available to be allocated, alongside other nodes, to a user's render job for its duration octarender includes supporting tools such as scene diagnostics and live render monitoring, which are provided on an "as is" basis and are not a guarantee of render outcome or accuracy 3 4 ai tools and remote desktop where offered, the services may allow users to deploy ai agents or models on rented capacity, or to access a rented node through a remote desktop or streaming interface for general computing or gaming use these features are subject to the same acceptable use, content, and security obligations that apply to other sessions under this agreement 3 5 the marketplace dashboard the marketplace is the account dashboard through which users and node providers manage credentials, billing, active sessions, node configuration, and service selection across the marketplace, vpn, and rendering products 4\ eligibility and accounts you must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract, to use the services persons under the age of 18 are not permitted to create an account or otherwise use the services under any circumstances you agree to provide accurate and current information when creating an account and to keep it up to date you are responsible for maintaining the confidentiality of your account credentials and any wallet connected to your account, and for all activity that occurs under your account you must promptly notify octaspace of any unauthorized use of your account or any other breach of security octaspace is not obligated to retain a record of your account, content, or configuration data beyond what is necessary to operate the services and comply with applicable law octaspace may decline to open, or may suspend, an account where required to comply with law, including applicable sanctions and anti money laundering requirements, or where octaspace reasonably suspects fraud or a violation of this agreement 5\ node provider terms this section 5 applies to you whenever you make hardware available to the network as a node provider, in addition to the general terms elsewhere in this agreement 5 1 onboarding and benchmarking when you connect a node, octaspace runs an automated benchmark to score the hardware across cpu, gpu, network throughput, and ai performance, among other parameters this score is used to inform how your node is presented in the marketplace and matched to users you represent that all hardware specifications, benchmark conditions, and configuration information you provide, or that your node reports, are accurate and are not manipulated, spoofed, virtualized to misrepresent capability, or otherwise falsified submitting simulated, spoofed, or otherwise misrepresented hardware specifications is a material breach of this agreement 5 2 selection of services you may choose which of the following services your node participates in, in any combination (a) rental through the compute marketplace, (b) vpn exit routing, and (c) rendering you may change your selection at any time through the marketplace, though changes will not interrupt a session already in progress 5 3 payment to node providers node providers are paid in usdc on the base network payment for a session is settled upon completion of that session, meaning when the user terminates it or it otherwise ends in accordance with the applicable pricing and billing rules octaspace deducts a platform fee of twenty percent (20%) from session proceeds you are responsible for providing a valid, compatible wallet address to receive payment and for any taxes arising from amounts you receive 5 4 reliability score each node is assigned a reliability score that increases over time as the node remains online and stable, and decreases when the node goes offline, becomes unstable, or is found to violate this agreement reliability score influences your node's visibility and ranking in the marketplace you are solely responsible for maintaining the uptime, connectivity, and stability of your node in order to preserve service quality for users and your own reliability score octaspace is not responsible for lost earnings resulting from downtime, instability, or a resulting drop in reliability score 5 5 idle jobs when a node is not actively rented, you may opt to run idle jobs, octaspace's supplied facility for utilizing idle capacity idle jobs are automatically paused when a rental session begins on that node and automatically resumed once the session ends, so that users receive the full performance of the hardware they are paying for you must not run any workload of your own, or any third party workload, on a node that is listed for rental other than through the idle jobs facility running background mining, computation, or any other process outside of idle jobs on a node available for rental, in a manner that consumes cpu, gpu, memory, storage, or network resources a user is paying for, is a material breach of this agreement, regardless of whether a session is currently active 5 6 prohibited node provider conduct in addition to the obligations above, when providing a node to the network you must not simultaneously run other decentralized compute, rendering, or vpn node or provider software on the same hardware in a way that allows that hardware to be rented, vpn routed, or allocated to jobs by more than one platform at the same time as octaspace; falsify, spoof, or misrepresent hardware specifications, benchmark results, location, or capability; access, copy, monitor, intercept, or attempt to access any content, data, communications, or activity of a user during a rental, vpn, or rendering session, or otherwise interfere with the isolation and privacy of a session; interrupt, throttle, or degrade a session other than through legitimate application of the idle jobs pause and resume mechanism or a genuine hardware or network fault outside your control; use the platform to facilitate, launder, or disguise any illegal activity; or engage in any other activity that materially affects the experience, security, or privacy of users or the integrity of the network octaspace may monitor node telemetry and marketplace activity for compliance with this section, but is under no obligation to do so and does not guarantee that every instance of prohibited conduct will be detected 5 7 privacy obligations of node providers you acknowledge that users running docker images, virtual machines, vpn traffic, or render jobs on your node may process confidential or personal data you must respect the privacy of that activity, must not attempt to view, extract, log, or exfiltrate user content or traffic, and must not use your position as a node provider to gain unauthorized access to user systems, credentials, or data this obligation survives the completion of any session and continues to apply to residual data on your hardware 5 8 suspension and termination of nodes octaspace may suspend or permanently ban a node, and may withhold or reverse associated payouts to the extent permitted by law and reasonably necessary to remediate harm or fraud, where octaspace determines, in its reasonable discretion, that the node provider has violated this agreement, including the obligations in sections 5 1, 5 5, 5 6, or 5 7 where practicable, octaspace will notify you of the reason for suspension or ban and provide a means to contest the decision, except where doing so would compromise an investigation, security, or the safety of users 6\ end user terms this section 6 applies to you whenever you rent a node, route traffic through the vpn, or submit a rendering job, in addition to the general terms elsewhere in this agreement 6 1 renting compute, docker images, and virtual machines you may launch a docker image from the octaspace catalogue or from a third party registry such as docker hub, or a full virtual machine where supported, onto a rented node you are solely responsible for the content and workloads you run, for ensuring you have all necessary rights to any image, model, dataset, or software you deploy, and for configuring reasonable security around anything you deploy because the underlying hardware is provided by independent node providers rather than octaspace, you should avoid storing highly sensitive data on a rented node beyond the duration of your session and should follow the security practices described in our documentation node providers are contractually prohibited from accessing your content or activity during a session (section 5 7) however, you acknowledge that octaspace's control over independently owned hardware is inherently different from that of a fully centralized cloud provider, and you accept the risk profile described in section 13 in exchange for the benefits of the decentralized marketplace 6 2 use of the decentralized vpn when you use the vpn service, you route internet traffic through independently operated nodes configured as vpn exit points by node providers you must comply with section 7 (acceptable use) at all times you are solely responsible for ensuring your use of the vpn complies with the laws of your jurisdiction and the jurisdiction in which the exit node is located you acknowledge that octaspace does not own, operate, or control the exit nodes, and cannot guarantee the privacy, security, logging practices, or performance of any specific exit node node providers are contractually prohibited from intercepting or logging vpn traffic under section 5 9, but you accept the inherent risks of routing traffic through decentralized, independently operated hardware 6 3 use of octarender where you submit rendering jobs, you retain all right, title, and interest in the scene files, assets, and rendered output you submit, subject to the limited license in section 9 needed for octaspace and the allocated nodes to perform the rendering service you are responsible for ensuring you have the necessary rights to any assets included in a render job 6 4 use of ai tools and remote desktop where you deploy an ai agent or model, or use a remote desktop or gaming interface on a rented node, you remain solely responsible for the content processed, the configuration and security of that content, and for ensuring your use complies with section 7 and any third party terms applicable to the software or models you deploy 6 5 marketplace wallet deposits users must deposit funds into their marketplace wallet in usdc on the base network prior to initiating sessions all deposits are final and non refundable you are solely responsible for ensuring that any deposit is made in the correct currency (usdc) and on the correct network (base) deposits made in any other currency (including but not limited to eth, usdt, or usdc on any network other than base) are not supported, cannot be processed into your marketplace wallet, and cannot be retrieved by octaspace octaspace does not charge fees on deposits 6 6 payment by users and refunds you agree to pay all fees associated with the sessions you initiate, calculated according to the node provider's published pricing (base price per hour, storage per gb, and traffic per gb) plus the octaspace platform fee of twenty percent (20%), as shown to you before or at the start of a session funds are drawn from your marketplace wallet balance all fees and deposits are non refundable octaspace reserves the right to correct any pricing or billing errors, even where payment has already been requested or received 7\ acceptable use policy this section applies to all users and node providers you must not use the services, and must not permit the services to be used, to violate any applicable law or regulation, or facilitate the violation of law by another party; access, transmit, store, or distribute content that is illegal, including but not limited to child sexual abuse material, content that infringes third party intellectual property, or content that facilitates fraud, hacking, or unauthorized access to systems; use rented capacity to run workloads on behalf of a competing decentralized compute, vpn, or rendering network; launch attacks against third party systems, including denial of service attacks, unauthorized penetration testing, malware distribution, or credential stuffing; circumvent, disable, decompile, reverse engineer, or otherwise interfere with security features, benchmarking, billing, or reliability score mechanisms of the services; systematically scrape, harvest, or extract data from the services, or use automated means to create accounts, without octaspace's prior written permission; use the services to develop, train, or improve a competing decentralized compute, vpn, or rendering product; use the vpn service to route traffic for illegal purposes, to evade law enforcement, or to access content or services in violation of the terms of the destination service or applicable law; send unsolicited bulk messages, spam, or engage in phishing, or impersonate any person or entity; or put octaspace, node providers, or other users in legal, regulatory, or reputational jeopardy through the use of the services 7 1 monitoring and detection octaspace does not continuously monitor or log the content of what users run on rented nodes, the destinations of vpn traffic, or the substance of a session, and does not have real time visibility into activity across the network given the decentralized nature of the services and the fact that nodes are operated by independent node providers, it is not practical for octaspace to review or pre approve activity as it happens as a result, octaspace's ability to identify a violation of this agreement is typically limited to what is reported to us or discovered after the fact, including through reports from node providers, other users, third parties, payment or infrastructure partners, or law enforcement and regulatory authorities 7 2 enforcement and account suspension because it is not possible to anticipate every way in which the services could be misused, octaspace retains broad discretion to investigate, restrict, suspend, or terminate any account, session, or node, remove content, and withhold or reverse associated payouts to the extent permitted by law, where octaspace reasonably believes, based on the information available to it at the time, including the reports described in section 7 1, that a user or node provider has violated this agreement, attempted to exploit or abuse the services, used a node or the vpn for an unlawful or harmful purpose, or otherwise put octaspace, node providers, or other users at risk these determinations are made on a case by case basis using the information reasonably available to octaspace, and octaspace is not required to complete an exhaustive investigation before acting, particularly where prompt action is needed to prevent harm or comply with a legal request octaspace will cooperate with law enforcement and regulatory authorities in connection with lawful requests, investigations, or reports of suspected criminal or otherwise unlawful use of the services, and may disclose account, session, or node information as required by law or in response to valid legal process where practicable and legally permitted, octaspace will notify an affected user or node provider of an enforcement action and its general basis, but may withhold that notice, or act without prior notice, where doing so would compromise an investigation, safety, or security as between octaspace and a user or node provider, you remain solely responsible for your own conduct, content, and workloads on the services octaspace does not review or endorse activity that takes place within a session and does not act as a guarantor of any user's or node provider's behavior as between users and node providers, octaspace is under no general obligation to become involved in a dispute between them, other than through the enforcement mechanisms described in this agreement, and octaspace's decision not to act in a given instance does not waive its rights under this agreement 8\ export control and sanctions compliance you represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive trade sanctions, and that you are not identified on any restricted party or denied persons list maintained by the united nations, the united states, the european union, the united kingdom, or any other jurisdiction with authority over your use of the services you agree not to use the services to export, re export, or provide access to controlled technology, or to any end use restricted under applicable export control or sanctions law, without first obtaining any required government authorization octaspace may suspend or terminate access to the services immediately, and without prior notice, where it reasonably believes a transaction or account violates this section 9\ intellectual property octaspace and its licensors retain all right, title, and interest in the services, including the node software, dashboard, marketplace, the octarender platform, and all associated trademarks and branding subject to your compliance with this agreement, octaspace grants you a limited, non exclusive, non transferable, revocable license to access and use the services for their intended purpose as between octaspace and a user, the user retains ownership of content they upload or generate through the services the user grants octaspace and the allocated node or nodes a limited license to host, process, transmit, and display that content solely as necessary to provide the requested session as between octaspace and a node provider, the node provider retains ownership of their hardware and grants octaspace a limited license to schedule, meter, and bill sessions on that hardware in accordance with this agreement if you send octaspace feedback, suggestions, or ideas about the services, you agree that octaspace may use that feedback for any purpose without obligation or compensation to you if you believe content accessible through the services infringes your copyright or other intellectual property rights, please contact us at hello\@octa space with a description of the work claimed to be infringed, the material you believe is infringing and its location within the services, your contact details, and a statement that you have a good faith belief that the use is not authorized octaspace may remove or disable access to material in response to a credible notice and may suspend the accounts of repeat infringers 10\ third party content and services the services allow you to access or deploy docker images, models, datasets, and other material sourced from third party registries and platforms, such as docker hub, and may link to third party websites or services octaspace does not review, endorse, or take responsibility for third party content, images, or services, and your use of them is at your own risk and subject to their own terms if you leave the services to use a third party website or service, this agreement no longer governs that use 11\ privacy and data our collection and use of personal data in connection with the services is described in our privacy policy, which is incorporated into this agreement by reference by using the services, you consent to the practices described there node providers acknowledge that octaspace may collect telemetry from node software, such as performance, uptime, and benchmark data, to operate the marketplace, calculate reliability score, and detect violations of this agreement, but that such telemetry is not used to access the substance of user content or sessions 12\ payments and digital assets the services involve the use of cryptocurrency, including payments to node providers in usdc on the base network and marketplace wallet deposits by users in usdc on the base network you are solely responsible for the security of your own wallets and private keys octaspace cannot recover funds lost due to lost credentials, user error, or third party wallet or exchange failures digital assets are volatile and involve risk, including regulatory risk nothing in this agreement or in octaspace's marketing materials constitutes investment, financial, tax, or legal advice, and no statement about any digital asset used within the services should be relied upon as a promise of value, return, or future performance you are responsible for complying with the laws applicable to your use, holding, or transfer of digital assets in your jurisdiction 13\ disclaimers of warranties the services, including all nodes, are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non infringement because nodes are independently owned and operated by third party node providers rather than octaspace, octaspace does not guarantee the uptime, performance, security, or availability of any specific node, and does not guarantee that node providers will comply with this agreement at all times, although octaspace uses benchmarking, reliability scoring, and enforcement mechanisms designed to encourage compliance similarly, octaspace does not guarantee that users will use rented capacity, the vpn, or the rendering platform lawfully or appropriately, although node providers benefit from the isolation, monitoring, and enforcement mechanisms described in this agreement 14\ limitation of liability to the maximum extent permitted by law, octaspace will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to this agreement or the services, even if octaspace has been advised of the possibility of such damages 15\ indemnification you agree to indemnify, defend, and hold harmless octaspace, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your breach of this agreement; (b) your content or workloads, including any docker image or virtual machine you deploy; (c) your use of the vpn or rendering platform in violation of section 7; or (d), if you are a node provider, your node's non compliance with sections 5 1, 5 5, 5 6, or 5 7 16\ suspension and termination you may stop using the services and close your account at any time, subject to completing any active sessions and outstanding payment obligations octaspace may suspend or terminate your access to the services, in whole or in part, immediately and without prior notice where you have materially breached this agreement, where required by law, or where necessary to protect the security or integrity of the services, node providers, or users if octaspace terminates or suspends your account, you are prohibited from registering or creating a new account under your name, a false or borrowed name, or the name of any third party, even if acting on behalf of that third party in addition to suspending or terminating an account, octaspace reserves the right to pursue appropriate legal action, including civil, criminal, and injunctive remedies, where warranted sections that by their nature should survive termination, including sections 5 7, 7 1, 7 2, 9, 11, 13, 14, 15, and 17, will survive 17\ dispute resolution and governing law octaspace operates as a decentralized network without a fixed jurisdictional headquarters as such, this agreement is not subject to the exclusive governing law of any single jurisdiction, and no specific court or arbitration venue is designated for the resolution of disputes octaspace will comply with lawful requests from law enforcement and regulatory authorities, and may disclose information, suspend services, or take other action as required by applicable law or valid legal process where practicable and legally permitted, octaspace will notify an affected user or node provider of such action, but may withhold notice or act without prior notice where doing so would compromise an investigation, safety, or security as between users and node providers, or between a user or node provider and any other third party, octaspace is under no obligation to become involved in a dispute you release octaspace, its officers, employees, agents, and successors from claims, demands, and damages of every kind, known or unknown, arising out of or in any way related to such disputes, to the maximum extent permitted by law 18\ changes to these terms octaspace may update this agreement from time to time where changes are material, we will provide reasonable notice, such as by posting a notice on our website or notifying you through the marketplace or by email, before the changes take effect continued use of the services after the effective date of an update constitutes acceptance of the updated agreement 19\ miscellaneous entire agreement this agreement, together with any documents it incorporates by reference, constitutes the entire agreement between you and octaspace regarding the services severability if any provision of this agreement is held unenforceable, the remaining provisions will remain in full force and effect no waiver octaspace's failure to enforce any provision is not a waiver of its right to do so later assignment you may not assign this agreement without octaspace's prior written consent octaspace may assign this agreement in connection with a merger, acquisition, or sale of assets independent contractors nothing in this agreement creates a partnership, joint venture, agency, or employment relationship between octaspace, node providers, and users node providers act as independent participants in the network and are not agents or representatives of octaspace force majeure octaspace is not liable for any failure or delay resulting from causes beyond its reasonable control system integrity octaspace may, at its discretion, restrict or block access from certain ip addresses, accounts, or devices where reasonably necessary to protect the integrity, security, or availability of the services notices notices to octaspace should be sent to the contact details in section 20 notices to you will be sent to the email address or in app contact method associated with your account electronic contracting your use of the services includes the ability to enter into agreements and make transactions electronically, and you agree that your electronic acceptance of this agreement, and any actions you take within the marketplace, are legally binding corrections octaspace may correct errors, inaccuracies, or omissions on the website or within the services, and may change or update related information, at any time
